Website and hosting services terms
The terms for businesses that buy a website, hosting or related services from us.
Last updated 5 November 2026.
These terms apply when a business buys a website, website hosting or related services from us. They are written for business customers only. Please read them carefully, in particular Your content, Your website's legal compliance and Our liability.
1. About these terms
1.1 We are TFYDJC LTD, trading as TFY Apps, a company registered in England and Wales, company number 17532068, registered office 198 West End Lane, London, NW6 1SG ("TFY Apps", "we", "us"). Contact: info@tfyapps.com. Website: https://tfyapps.com. We are not registered for VAT.
1.2 "You" means the business, organisation or sole trader that orders the services. You confirm that you are acting for the purposes of your trade, business, craft or profession and not as a consumer, and that the person placing the order has authority to bind you.
1.3 "Services" means the website design and build service ("Build"), the website hosting service ("Hosting") and any other services we agree in writing to provide. "Site" means the website we build or host for you. "Quote" means our written quote, proposal or order confirmation, which may be sent by email. "Your Content" means all text, images, logos, trade marks, videos, prices, product details, reviews, testimonials, data and other material that you supply or ask us to use.
1.4 The contract between us is made when you accept a Quote in writing (including by email) or pay our first invoice, whichever happens first. It is made up of the Quote and these terms. If the Quote and these terms conflict, the Quote applies. Any terms you send us, or that are in your purchase order or other documents, do not apply. Our general Terms of Use do not apply to the Services except where these terms say so.
2. What we will build
2.1 Unless the Quote says otherwise, the Build is a website of up to 5 pages, designed and built by us for your business using Your Content, as described in the Quote.
2.2 Work that is not described in the Quote, such as extra pages, online shops, booking or payment systems, integrations, copywriting, photography, logo design, search engine optimisation campaigns or ongoing content changes, is outside the scope. We may agree to do it for an extra charge that we will confirm in writing before starting.
2.3 Any date or timescale we give for delivery or launch is an estimate only and is not guaranteed. Time is not of the essence. We are not responsible for delay caused by you, including late, incomplete or unsuitable content, late feedback or approvals, or delays in giving us access to domains, accounts or information.
2.4 We will show you the Site before launch. You are responsible for checking it carefully, including all text, prices, contact details and claims. When you approve the Site, or the Site goes live at your request, the Build is accepted. We will fix errors in our own work that you tell us about within 14 days of launch at no extra charge. After that, changes are charged as extra work unless included in your Hosting.
2.5 We will carry out the Services with reasonable care and skill. We do not promise that the Site will produce any number of visitors, enquiries, sales or search rankings.
3. Your responsibilities
3.1 You will supply Your Content, information, approvals and access to any domain, hosting or third-party accounts we reasonably need, promptly and accurately.
3.2 You are responsible for the accuracy of Your Content and of all information on the Site about your business, products, services, prices and opening hours.
3.3 You will keep any login details we give you secure, and tell us promptly if you think they have been misused.
4. Your content and your promises about it
4.1 You own, or have all the rights, licences and permissions needed for, all of Your Content, and for us to copy, adapt and publish it on the Site and in connection with the Services.
4.2 You promise that Your Content, and the Site as published at your direction: (a) does not infringe anyone's intellectual property rights, privacy or other rights; (b) is not defamatory, misleading, obscene, discriminatory or otherwise unlawful; (c) complies with all laws, regulations and codes that apply to your business and its advertising, including the Consumer Protection from Unfair Trading rules in the Digital Markets, Competition and Consumers Act 2024 and the CAP Code; and (d) does not contain fake or misleading reviews or testimonials.
4.3 We may refuse to publish, or remove, any content that we reasonably believe breaks this section or the law.
4.4 You will indemnify us, and keep us indemnified, against all losses, damages, liabilities, fines, costs and expenses (including reasonable legal fees) that we suffer or incur as a result of any claim by a third party, or any action by a regulator, arising from Your Content, the Site's content as approved or supplied by you, your breach of this section or section 8, or your use of the Site. We will tell you promptly about any such claim and let you take reasonable control of its defence at your cost.
5. Ownership and licence of the Site
5.1 You keep ownership of Your Content and of your domain names. You give us a non-exclusive, royalty-free licence to use Your Content for as long as we provide the Services, to build, host and maintain the Site.
5.2 We own all intellectual property rights in the designs, layouts, templates, code, tools and other material we create or use to provide the Services, including material we created before or outside our work for you ("Our Materials").
5.3 Your Quote says which of the two licences below applies to your Site. If your Quote does not say, Option A applies. In both cases, until you have paid the site fee and all other sums then due in full, you may use the Site only as we allow during the Build and Hosting, and you may not resell Our Materials, use them separately from the Site or use them to create websites for anyone else.
(a) Option A, full licence: once you have paid in full, we grant you a non-exclusive, perpetual, worldwide, royalty-free licence to use, copy and modify Our Materials as they are included in the finished Site, for the purposes of your business, including moving the Site to another hosting provider.
(b) Option B, hosted licence: we grant you a non-exclusive, worldwide, royalty-free licence to use Our Materials as they are included in the finished Site, for the purposes of your business, for as long as we host the Site and you pay the monthly fee. The Site may only be hosted by us. If the Hosting ends, the licence ends and we will take the Site offline, but we will give you a copy of Your Content. You may buy a full licence under Option A at any time for the price stated in your Quote or, if none is stated, a price we agree with you in writing.
5.4 Some parts of the Site, such as fonts, stock images, icons, plugins and open-source code, are provided by third parties under their own licences. You must comply with those licences, and we give no rights in them beyond what those licences allow.
5.5 Unless you tell us otherwise in writing, we may show the Site, your name and logo in our portfolio and marketing, including our sample and work pages.
6. Prices and payment
6.1 Our fees are set out in the Quote. For our standard website package, this is a one-off site fee of £1,000 for the Build and a Hosting fee of £45 a month. We are not registered for VAT, so no VAT is charged. If we become registered for VAT, we will tell you in advance and VAT will be added at the applicable rate to invoices issued after registration.
6.2 The site fee is due in full before the Site is launched, unless we have agreed a different payment schedule in writing. We do not have to launch the Site, or transfer any files, until the site fee has been paid.
6.3 The Hosting fee is payable monthly in advance, starting on the date the Site is launched or the date stated in the Quote, by the payment method we tell you.
6.4 Unless the invoice says otherwise, each invoice is payable within 14 days of its date, without any deduction or set-off.
6.5 If you do not pay any amount by its due date, we may charge interest and claim fixed compensation and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, at the statutory rate (currently 8% a year above the Bank of England base rate), from the due date until payment. We may also, after giving you at least 7 days' written notice, suspend the Services, including taking the Site offline, until all overdue sums are paid.
6.6 We may change the Hosting fee by giving you at least 30 days' written notice. If you do not agree to the change, you can end the Hosting before it takes effect under section 11.
6.7 Fees already paid are not refundable, except where these terms say otherwise or the law requires.
7. Hosting
7.1 We will use reasonable efforts to keep the Site available and secure, using third-party hosting and infrastructure providers chosen by us. We do not guarantee any level of uptime, speed or availability, or that the Site will be uninterrupted, error free, or free from viruses, malicious attacks or unauthorised access.
7.2 The Site may be unavailable from time to time, including for planned or emergency maintenance, updates, security measures, or failures of our providers, the internet or other systems outside our control. Where we reasonably can, we will give you notice of planned maintenance.
7.3 Unless the Quote says otherwise, Hosting does not include email hosting, domain name registration or renewal, content changes, new features, or support outside normal business hours.
7.4 We may suspend Hosting immediately, without liability, if we reasonably believe that the Site is being used unlawfully, contains unlawful or infringing content, is under attack, or poses a security risk to our systems or other customers. We will tell you as soon as reasonably possible and restore the Site once the problem is resolved.
8. Backups
8.1 We will use reasonable efforts to keep backups of the Site, but we do not guarantee that backups will be complete, current or always available, or that we can restore every part of the Site.
8.2 You must keep your own up-to-date copies of Your Content and of any data that matters to your business, such as enquiries received through the Site. We are not responsible for any loss of Your Content or data that you could have avoided by keeping your own copies.
9. Your website's legal compliance
9.1 You are responsible for making sure that the Site and your use of it comply with all laws that apply to your business, including, as relevant: data protection law (UK GDPR and the Data Protection Act 2018) and a suitable privacy notice; cookie and similar technology consent under the Privacy and Electronic Communications Regulations; accessibility and equality law; consumer protection law, including the information you must give customers and the rules on pricing, reviews and advertising claims; company and business name disclosure requirements; and any rules of your trade or regulator.
9.2 We may include standard text, cookie banners, privacy notice templates or accessibility features in the Site. Unless we have expressly agreed in writing to provide a specific compliance service, these are provided as a convenience only, are not legal advice, and you remain responsible for checking that they are right for your business. You should take your own legal advice if you are unsure.
10. Personal data on the Site
10.1 You are the controller of personal data collected through the Site (for example through contact forms). Where we process that personal data on your behalf in providing Hosting, we act as your processor, and this section applies.
10.2 We will: (a) process the personal data only on your documented instructions, which are to host and operate the Site and provide the Services, unless the law requires otherwise, in which case we will tell you unless the law prevents it; (b) make sure that people authorised to process it are under a duty of confidentiality; (c) take appropriate technical and organisational security measures as required by Article 32 of the UK GDPR; (d) not engage another processor without your general authorisation, which you give by agreeing to these terms for our hosting and infrastructure providers, and we will tell you of any intended change so you can object, and will impose equivalent data protection obligations on them; (e) assist you, taking into account the nature of the processing, in responding to requests from individuals exercising their rights, and with your obligations on security, breach notification, data protection impact assessments and prior consultation; (f) tell you without undue delay after becoming aware of a personal data breach affecting the Site; (g) at the end of the Services, delete or return the personal data at your choice, unless the law requires us to keep it; and (h) make available the information reasonably needed to show compliance with this section and allow for and contribute to reasonable audits, on reasonable notice and at your cost.
10.3 The subject matter of the processing is the hosting of the Site; its duration is the term of the Hosting; its nature and purpose are storing and making available the Site and the data it collects; the personal data is whatever the Site's forms and features collect (typically names, contact details and messages); and the data subjects are visitors to the Site who submit it. You will make sure you have a lawful basis for all personal data the Site collects and give visitors the information the law requires.
10.4 How we handle personal data about you and your staff for our own purposes (for example billing and contact) is described in our privacy policy.
11. Term and ending the contract
11.1 The Build continues until the Site is accepted under section 2.4. Hosting continues month to month from its start date until either of us ends it.
11.2 Either of us may end the Hosting by giving at least 30 days' written notice (email is enough). The Hosting will end at the end of the monthly billing period in which the notice period expires.
11.3 If you cancel the Build before the Site is accepted, you must pay for the work done up to the date of cancellation, charged in proportion to the work completed and not more than the site fee.
11.4 Either of us may end the contract immediately by written notice if the other: (a) commits a material breach that cannot be put right, or that is not put right within 14 days of being asked in writing to do so; or (b) becomes insolvent, enters administration, liquidation or any arrangement with creditors, or stops trading. We may also end the contract on written notice if any sum is more than 30 days overdue.
11.5 When the contract ends, all unpaid sums become due immediately. If you have paid all sums due, and you ask us within 30 days after the end, we will provide a copy of the Site's files in a standard format so that you can host it elsewhere. After that period we may delete the Site and all data we hold for it, unless the law requires us to keep it. We are not responsible for moving the Site to a new provider unless we agree this in writing, which may be charged.
11.6 Sections 4.4, 5, 6.5, 6.7, 10, 11.5, 12, 13 and 15 continue to apply after the contract ends.
12. Our liability
12.1 Nothing in these terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession); or (d) any other liability that cannot be excluded or limited by law.
12.2 Subject to section 12.1, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, for any: (a) loss of profit; (b) loss of revenue or sales; (c) loss of business, contracts or opportunity; (d) loss of anticipated savings; (e) loss or corruption of data or information; (f) loss of goodwill or damage to reputation; or (g) indirect or consequential loss, in each case however arising and even if it was foreseeable.
12.3 Subject to section 12.1, our total liability to you for all claims arising out of or in connection with the contract and the Services, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, is limited to the total fees you paid us under the contract in the 12 months before the event that gave rise to the claim or, if you paid us nothing in that period, £100.
12.4 Except as expressly set out in these terms, all warranties, conditions and other terms implied by statute or common law are excluded to the fullest extent permitted by law.
12.5 We are not liable for any loss caused by: Your Content; your instructions; any failure by you to keep your own backups; changes made to the Site by you or anyone other than us; or the acts or omissions of third-party service providers described in section 13.
12.6 You must bring any claim against us within one year of the date on which you became aware, or ought reasonably to have become aware, of the facts giving rise to it.
12.7 These limits reflect the fees we charge and the allocation of risk between us. You may wish to arrange your own insurance.
13. Third-party services
The Site and the Services may depend on services provided by others, such as domain name registrars, DNS providers, hosting and cloud infrastructure providers, email providers, payment providers, booking systems, maps, fonts, analytics and social media platforms. These services are provided under their own terms, between you and the provider where you hold the account. We do not control them and are not responsible for their availability, performance, security, pricing, changes or suspension, or for any loss they cause. Where we buy a third-party service for you, we pass on only the commitments that provider gives us. You are responsible for keeping your own accounts with those providers (including domain renewals) in good standing, unless we have agreed in writing to manage them.
14. Preview pages
Before you buy, we may show you a personal preview page. A preview page is a concept design only. It may contain example text, example images and other placeholder content, which are illustrations and not statements about your business, and it may use your business name or publicly available details only to show the concept. A preview page is not an offer to supply the finished Site exactly as shown, and creates no obligation on you or us. If you want a preview page about your business removed, email info@tfyapps.com and we will take it down. The finished Site is built from Your Content, and you must replace any example content before launch.
15. General
15.1 Events outside our control. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including failures of hosting or infrastructure providers, the internet, power or telecommunications, cyber attacks we could not reasonably prevent, fire, flood, extreme weather, epidemic, strikes or government action.
15.2 Confidentiality. Each of us will keep confidential any non-public information about the other's business received under the contract, and use it only for the purposes of the contract, except where disclosure is required by law or to professional advisers.
15.3 Subcontractors. We may use subcontractors to provide any part of the Services, and we remain responsible for their work.
15.4 Transfer. We may transfer our rights and obligations under the contract to another organisation. You may not transfer yours without our written agreement.
15.5 Whole agreement. The contract is the whole agreement between us and replaces all earlier discussions, proposals and statements about its subject matter. You confirm that you have not relied on any statement or promise that is not set out in the contract. Nothing in this section limits liability for fraud or fraudulent misrepresentation.
15.6 Changes. Changes to the contract are only binding if agreed in writing (email is enough) by both of us. We may update these terms for future contracts and for Hosting by giving you at least 30 days' written notice; if you do not agree, you may end the Hosting under section 11.2 before the change takes effect.
15.7 Notices. Notices under the contract may be sent by email, to info@tfyapps.com for us and to the email address you gave us for you, and are treated as received on the next working day after sending.
15.8 Third parties. No one other than you and us has any right to enforce the contract under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
15.9 Severance and waiver. If any part of the contract is found to be invalid or unenforceable, the rest remains in force. A delay or failure to exercise a right is not a waiver of it.
16. Law and courts
The contract, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
